Terms of Service

1. Agreement to Terms

By accessing or using the Praman Labs API ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

These Terms constitute a legally binding agreement between you and SATYAPAN DATA TECHNOLOGIES PRIVATE LIMITED, trading as Praman Labs ("we", "us", "our").

2. Service Description

Praman Labs provides an API service that delivers structured sanctions, watchlist and PEP screening data for compliance and risk assessment purposes. Our service includes:

• RESTful API access to sanctions, watchlist and PEP screening data
• Entity search and matching capabilities
• Risk timeline and source citation data
• API documentation and technical support

3. Account Terms

3.1 Registration

To use our Service, you must:

• Provide accurate and complete registration information
• Maintain the security of your API keys
• Accept responsibility for all activity under your account
• Be at least 18 years old or the age of legal majority in your jurisdiction

3.2 API Key Security

You are responsible for:

• Keeping your API keys confidential
• Not sharing API keys with unauthorized third parties
• Immediately notifying us of any unauthorized use
• Rotating keys if you suspect compromise

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Resell, redistribute, or sublicense API access without authorization
• Attempt to reverse engineer, decompile, or extract source data
• Circumvent rate limits or access controls
• Use automated tools to scrape or bulk-download data beyond API limits
• Use data to make automated decisions that adversely affect individuals without human review
• Store data longer than necessary for your legitimate business purpose
• Use the Service in a way that violates any applicable law or regulation

5. API Usage and Rate Limits

Your use of the API is subject to:

• Rate limits as specified in your subscription plan
• Fair use policies to ensure service quality for all users
• Technical requirements as documented in our API documentation

We reserve the right to throttle or suspend access if usage patterns indicate abuse or threaten service stability.

6. Data and Intellectual Property

6.1 Our Data

All data, content, and materials provided through the API ("Data") remain the property of Praman Labs. You receive a limited, non-exclusive, non-transferable license to use the Data solely for your internal compliance and risk assessment purposes.

6.2 Restrictions

You may not:

• Claim ownership of our Data
• Create derivative databases for commercial resale
• Use our Data to train machine learning models for competing services
• Remove or obscure any proprietary notices

7. Payment Terms

7.1 Fees

Fees are as specified in your subscription plan. All fees are:

• Due in advance for subscription periods
• Non-refundable except as required by law
• Subject to change with 30 days' notice

7.2 Taxes

You are responsible for all applicable taxes. Prices are exclusive of VAT unless otherwise stated.

8. Service Availability

We aim to provide reliable service but do not guarantee:

• Uninterrupted or error-free operation
• Specific uptime percentages (unless separately agreed in an SLA)
• Compatibility with all systems or configurations

We may perform maintenance or updates that temporarily affect availability.

9. Limitation of Liability

To the maximum extent permitted by law:

• Our total liability is limited to the fees you paid in the 12 months preceding the claim
• We are not liable for indirect, incidental, special, consequential, or punitive damages
• We are not liable for decisions you make based on our data
• We are not liable for third-party actions or data accuracy issues beyond our reasonable control

10. Indemnification

You agree to indemnify and hold harmless Praman Labs, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Any decisions or actions you take based on data from our Service

11. Termination

11.1 By You

You may terminate your account at any time by contacting us. No refunds are provided for unused subscription periods.

11.2 By Us

We may suspend or terminate your access if you:

• Violate these Terms
• Fail to pay fees when due
• Engage in fraudulent or illegal activity
• Use the Service in a way that harms us or other users

11.3 Effect of Termination

Upon termination:

• Your API access will be revoked
• You must stop using any data obtained through our Service
• Sections that by their nature should survive will survive (e.g., liability, indemnification)

12. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes will be resolved in the courts of England and Wales, except that we may seek injunctive relief in any jurisdiction.

13. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes via email or through the Service. Continued use after changes constitutes acceptance of the new Terms.

14. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and Praman Labs.
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
• Waiver: Failure to enforce any right does not waive that right.
• Assignment: You may not assign these Terms without our consent. We may assign our rights freely.
